Acceptance of Terms #

These Terms of Service ("Terms") constitute a legally binding agreement between you and ANNATECH SRL ("we", "us", "our"), governing your access to and use of the DineXpro platform — including our mobile application, web application, website, and all related services (collectively, the "Services").

By creating an account, accessing, or using DineXpro, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.


Eligibility & Accounts #

To use DineXpro, you must be at least 16 years of age (or the minimum age required in your jurisdiction). By creating an account, you represent that you meet this requirement.

You are responsible for:

  • Providing accurate and complete information when creating your account
  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us promptly if you suspect unauthorized access to your account

We reserve the right to suspend or terminate accounts that violate these Terms, are inactive for extended periods, or are used in a fraudulent or unauthorized manner.


Description of Services #

DineXpro is a dining experience platform that may provide, depending on availability and the features offered:

  • QR-based table sessions — scan a QR code at a restaurant to join a dining session, view menus, and interact with your table group
  • Ordering — browse menus, place orders, customize items, and track order status in real time
  • Payments & billing — view bills, request payment, split costs among participants, and confirm payment
  • Business tools — restaurant management features including menu management, table and session oversight, staff management, order dashboards, and operational analytics
  • Social features — optional profile visibility, social interactions, venue check-ins, and community features that may evolve over time
  • Notifications — order updates, session events, promotional information, and service alerts

Features may vary by location, device, and over time as we develop and improve the platform. We do not guarantee that all features will be available to all users at all times.


User Responsibilities #

When using DineXpro, you agree to:

  • Use the Services honestly and in good faith
  • Provide accurate information in your profile, orders, and communications
  • Respect the staff, other diners, and restaurant partners you interact with through the platform
  • Comply with all applicable local laws and regulations, including those related to restaurant conduct, payments, and public behavior
  • Not use the Services to facilitate any illegal activity
  • Not attempt to interfere with, disrupt, or gain unauthorized access to the Services, our servers, or other users' accounts

Acceptable Use #

You may not use DineXpro to:

  • Submit false, misleading, or fraudulent orders, reviews, or account information
  • Harass, threaten, abuse, or discriminate against any individual or group
  • Distribute spam, unsolicited messages, or advertising through the platform
  • Upload or share content that is illegal, harmful, defamatory, obscene, or otherwise objectionable
  • Attempt to reverse-engineer, decompile, or extract source code from the application
  • Scrape, crawl, or extract data from the platform in an automated manner without our permission
  • Impersonate another person, business, or entity
  • Interfere with the security or integrity of the Services, including attempting to bypass access controls, authentication mechanisms, or rate limits

We reserve the right to investigate potential violations and take appropriate action, including suspending or terminating your access.


QR Sessions, Orders & Payments #

When you join a dining session and place orders through DineXpro:

  • Orders are commitments. Once submitted, an order is sent to the restaurant for preparation. Cancellations or modifications may not always be possible and are subject to the restaurant's policies and operational constraints.
  • Pricing is set by the restaurant. Menu prices, availability, and item descriptions are provided by the restaurant partner. While we aim to display accurate information, we are not responsible for errors in pricing or descriptions set by the restaurant.
  • Payment obligations. You are responsible for paying for the items you order. Bill splitting and payment features are provided as a convenience. The final obligation to settle the bill rests with the participants of the dining session.
  • QR codes and sessions. QR codes are provided by the restaurant for table identification. You should only scan QR codes at tables you are legitimately seated at. Misuse of QR codes (e.g., scanning from a distance, sharing session links to disrupt operations) is prohibited.
  • Session participation. By joining a session, other participants at the same table may see your display name and order activity. This is inherent to the shared dining experience.

DineXpro serves as a platform facilitating the dining experience. The contractual relationship for the food and beverages you order exists between you and the restaurant.


Business & Staff Accounts #

If you register a business on DineXpro or are granted staff access by a business, additional responsibilities apply:

  • Accurate business information. You must ensure that your business profile, menu items, pricing, and location details are accurate and up to date.
  • Staff management. Business administrators are responsible for managing staff access, roles, and permissions. You should only grant access to trusted individuals and should promptly revoke access when no longer appropriate.
  • Customer data. You may access certain customer information (such as display names and order details) as part of providing the dining service. You must treat this information responsibly and in accordance with applicable privacy laws. You may not use customer data for purposes unrelated to the dining experience provided through DineXpro.
  • Compliance. You are responsible for ensuring that your use of DineXpro complies with all applicable laws and regulations, including food safety, consumer protection, tax, and privacy requirements in your jurisdiction.
  • Content responsibility. You are responsible for all content you publish through the platform, including menu items, descriptions, images, and pricing.

Subscriptions, Billing & Payment Processors

Some DineXpro features for businesses ("Modules") are made available under a paid subscription. Your access to specific Modules is governed by your active subscription and the entitlements derived from it. If your subscription lapses or a Module is not included in your plan, the corresponding feature may be disabled.

  • Subscription billing (Merchant of Record). Subscription charges for the DineXpro platform are processed by Paddle, which acts as the Merchant of Record for these transactions. Paddle is responsible for collecting payment, applicable taxes, and issuing invoices. The final price you pay is confirmed in Paddle's hosted checkout; any pricing previewed inside the app is informational only.
  • End-customer payments (Stripe Connect). Where applicable, payments your end customers make to your business through DineXpro (for example, online ordering, deposits, or in-session payments) are processed by Stripe via Stripe Connect. You are the merchant of record for those transactions and are responsible for fulfilling the underlying goods or services and complying with Stripe's terms.
  • Cancellation and refunds. Subscription cancellation and refund handling for the DineXpro platform follow Paddle's terms; refunds for end-customer payments are your responsibility as the business.
  • Required information. To create a business you must provide accurate identifying information, including a country of operation, and you must accept these Terms and the Privacy Policy. Acceptance is recorded with a timestamp and version reference.

Community & Social Conduct #

DineXpro may include social features that allow interaction between users. If you use these features, you agree to:

  • Treat other users with respect and courtesy
  • Not engage in harassment, bullying, hate speech, or threatening behavior
  • Not share misleading, deceptive, or intentionally false information
  • Respect other users' privacy — do not share personal information about others without their consent
  • Report inappropriate behavior or content using the available reporting mechanisms

Social features may evolve over time. We reserve the right to introduce, modify, or remove social features, and to establish additional community guidelines as these features develop.


Content, Reporting & Moderation #

You retain ownership of the content you create and share through DineXpro (such as reviews, profile information, and images). By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content as necessary to operate and improve the Services.

We reserve the right, but are not obligated, to:

  • Review, moderate, or remove content that violates these Terms or our community standards
  • Investigate reports submitted by users and take appropriate action
  • Restrict or disable features for users who repeatedly violate our guidelines
  • Cooperate with law enforcement when required by law

We are not responsible for content posted by users and do not endorse any user-generated content. If you believe content violates your rights, please contact us at contact@dinexpro.app.


Intellectual Property #

The DineXpro platform — including its software, design, branding, logos, documentation, and all original content — is owned by ANNATECH SRL and protected by applicable intellectual property laws.

You may not:

  • Copy, modify, or distribute any part of the DineXpro platform without our written consent
  • Use our trademarks, logos, or brand elements without prior authorization
  • Create derivative works based on our platform or its content

We respect the intellectual property of others. If you believe that content on DineXpro infringes your intellectual property rights, please contact us with details of the alleged infringement.


Service Availability & Changes #

We strive to keep DineXpro available and reliable, but we do not guarantee uninterrupted access. The Services may be temporarily unavailable due to:

  • Scheduled maintenance or updates
  • Infrastructure provider outages or technical issues
  • Events beyond our reasonable control

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to communicate significant changes in advance.


Disclaimers #

The Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding the accuracy, reliability, or completeness of content provided through the Services
  • Warranties that the Services will be uninterrupted, error-free, or secure

DineXpro is a technology platform. We do not prepare, serve, or deliver food. We are not responsible for the quality, safety, legality, or accuracy of the food, menu items, or services provided by restaurant partners.


Limitation of Liability #

To the maximum extent permitted by applicable law, ANNATECH SRL and its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, data, or goodwill
  • Service interruptions or data breaches
  • Damages arising from the conduct of other users or restaurant partners
  • Issues related to food quality, preparation, or delivery by restaurants

Our total aggregate liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid to DineXpro (if any) in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability will be limited to the fullest extent permitted by applicable law.


Termination & Suspension #

You may stop using DineXpro and delete your account at any time through the app settings or by contacting us.

We may suspend or terminate your access to the Services if:

  • You violate these Terms or our community guidelines
  • Your account is associated with fraudulent, abusive, or harmful activity
  • We are required to do so by law
  • We decide to discontinue the Services or a portion thereof

Upon termination, your right to use the Services ceases immediately. We may retain certain data as required by law or legitimate business purposes, as described in our Privacy Policy.


Governing Law & Disputes #

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to conflict-of-law principles.

In the event of a dispute, we encourage you to contact us first at contact@dinexpro.app so we can attempt to resolve the matter informally. If a resolution cannot be reached, disputes shall be submitted to the competent courts in Romania, unless applicable consumer protection laws in your jurisdiction provide otherwise.

Nothing in these Terms affects your statutory rights as a consumer under the laws of your jurisdiction.


Changes to These Terms #

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and version number at the top of this page and, where appropriate, notify you through the app or by email. Continued use of the Services after such changes constitutes acceptance of the updated Terms; for businesses, re-acceptance may be required at the next subscription action.

Continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you should discontinue your use of the Services.
